(NYSE: "WHI"), (the “Company” or “W Holding”), the bank holding company of Westernbank Puerto Rico (the “Bank” or “Westernbank”), today announced that the Bank entered into a Consent Order (the “Consent Order”) with the Federal Deposit Insurance Corporation (FDIC) and the Office of the Commissioner of Financial Institutions of Puerto Rico (OCIF), and the Company entered into a Written Agreement (the “Written Agreement” and together with the Consent Order, the “Orders”) with the Board of Governors of the Federal Reserve System.

(NYSE: "WHI"), the bank holding company for Westernbank Puerto Rico, today announced that on April 6, 2009 the New York Stock Exchange (the “NYSE”) notified the Company that the Company is not in compliance with NYSE Listed Company Manual Section 802.01E because the Company has not timely filed its Annual Report on Form 10-K for the year ended December 31, 2008 (the “2008 Form 10-K”).
